NexGen IT Solutions – Terms and Conditions for Free Nonprofit Service Program

Effective Date: 3/31/25

Provider: NexGen IT Solutions LLC (“Provider”)

Client: Participating Nonprofit Organization (“Client”)


1. Program Overview

NexGen IT Solutions (“Provider”) offers complimentary IT services through its Free Nonprofit Service Program (“Program”) to select small nonprofit organizations.

This Program is intended to assist eligible nonprofits by providing essential IT support at no cost, subject to the terms outlined herein.


Larger nonprofit organizations, or those determined by Provider to exceed size or resource thresholds, may instead be offered discounted service rates.

Participation in the Free Nonprofit Service Program is determined solely at the discretion of Provider.


2. Scope of Free Services

Under this Program, free services may include:

Basic IT troubleshooting

Device setup and basic configuration

Light server or network assistance

Routine consulting or advisory

Website maintenance (when specified)

The following are excluded unless otherwise agreed to in writing:

Emergency support

After-hours support

Major infrastructure upgrades

Cybersecurity overhauls

Advanced server migrations

Software or license purchases

Services will be defined at the beginning of the engagement or as needs arise.

3. Conditions of Participation

Client agrees to:

Work solely with NexGen IT Solutions for all IT support needs while participating in this Program.

Provide accurate and timely information necessary to perform services.

Maintain open communication regarding IT environment changes.

Engaging a third-party IT provider, modifying Provider’s software or tools, or misrepresenting organizational status will immediately disqualify the Client from this Program.


4. Breach and Reimbursement

If Client violates these terms, including but not limited to:

Engaging another IT provider without written permission, Removing or altering installed tools, Misrepresenting nonprofit status,

Provider reserves the right to:

Terminate free services immediately, Invoice Client for all work performed at standard commercial rates ($140/hour), whichever is greater: from the date of first engagement or from the past six (6) months of service.


5. Termination of Services

Either party may terminate participation in the Program at any time with written notice.

Provider reserves the right to terminate services immediately without notice in the event of:

Conflict of interest,

Security risk,

Breach of these Terms.

Upon termination, NexGen IT Solutions will professionally assist in an offboarding process, including removal of any software, monitoring agents, or credentials.


6. Liability

Provider offers services under this Program on a goodwill basis and makes no warranties, expressed or implied.

Provider is not liable for data loss, downtime, or other damages resulting from:

Client’s misuse of equipment,

Unauthorized changes,

External IT provider involvement,

Security breaches outside Provider’s control.

7. Program Changes

Provider reserves the right to modify, suspend, or terminate the Free Nonprofit Service Program at any time without prior notice.

Existing Clients will be notified of material changes affecting their participation.

8. Governing Law

These Terms and Conditions are governed by the laws of the State of Michigan, without regard to conflict of law principles.
